Massey Expects to Wait on Court Ruling Before Deciding on Sunair Written Consent

On March 16, Massey Services, Inc., the Orlando pest and lawn care services company, annnounced in an SEC filing that to does not expect to decide whether to execute a written consent to replace six of the seven directors of Sunair Services Corporation’s board of directors until judicial determination is made regarding the validity of proxies of members of the shareholder group in favor of Coconut Palm Investors II, Ltd.  Massey reported owning 9.63% of Sunair’s outstanding common stock. Sunair sues Dissident Group in Federal Court

On March 13, Sunair Services Corpoiration filed suit in federal court against the dissident shareholder group for alleged violations of federal securities laws, including alleged unlawful solicitation of proxies and allegedly making false and misleading statements in the Information Statement filed with the SEC and omitting to state material facts. More on Sunair: Are they “Dissidents” or “Insurgents”

The dissident group of Sunair shareholders has filed a rebuttal to information Sunair has includd in its proxy statement.  Curiously, they now refer to themselves as “insurgents.”  In the rebuttal, they dispute a variety of information about Sunair’s directors included in a supplement they have filed to the proxy material. Sunair Dissident Group Files Suit against Sunair and Coconut Palm

Three members of the dissident shareholder group  filed suit on February 23, 2009 in Circuit Court in Palm Beach County, Florida seeking a judicial determination that the proxies held by Coconut Palm are invalid and seeking relief from certain requirements of Sunair’s bylaws regarding mailing the proposed Information Statement to Sunair’s shareholders of record as of the Record Date.   The lawsuit seeks a judicial determination that the group may convene a special meeting of shareholders on at least 10 days’ notice as provided in the Bylaws and remove and replace directors. The Davey Tree Expert Company has acquired Monteleone Landscaping Company of North Royalton, Ohio.
